Breadth - Terms of Service

These Terms of Service ("Terms", "Terms of Service") are the entire agreement ("Agreement") between Lucid Program (ABN: 95 926 075 671) trading as GetBreadth and Breadth ("Company", "We", "Our", "Us") and you ("You" or the "User"). These Terms govern Your use of our web pages and services located at getbreadth.com (collectively, the "Service").

1. Acceptance of Terms

By accessing or using Breadth ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. User Eligibility

You must be at least 18 years old to use the Service. If you are using the Service on behalf of a minor, you must be their parent or guardian, agree to these Terms, and understand that "you" in these Terms refers both to you personally and in your capacity as a guardian, as well as the minor you represent where applicable.

3. Description of Service

Breadth is a multi-agent AI platform designed to assist designers and product managers with research and learning. The Service utilizes large language models (LLMs) and user-defined agent personas to generate responses. The output of the Service is AI-generated and should not be considered definitive, factual, or a substitute for professional advice.

4. User Responsibilities and Risks

Use of Breadth involves inherent risks. You acknowledge and agree to the following:

4.1 Basic Understanding and Responsibility

  1. You acknowledge that you are interacting with an AI system.
  2. AI systems are based on probabilistic models, which may result in misunderstandings or errors.
  3. The Company is not responsible for any misunderstandings or inaccuracies caused by AI.

4.2 User Responsibilities

  1. You are solely responsible for verifying the accuracy and suitability of any information provided by the Service.
  2. You should exercise personal judgment before relying on AI-generated output.
  3. You are fully responsible for monitoring and approving the use of AI-generated output.
  4. You assume responsibility for any decisions, actions, or omissions based on AI output.

4.3 Inherent Limitations of AI Functionality

  1. Outputs may contain errors or inaccurate information.
  2. AI lacks creative thinking and may produce repetitive or formulaic content.
  3. AI may struggle to understand subtle nuances in language, including slang and cultural references.
  4. AI cannot understand or express emotions like humans.
  5. AI outputs may perpetuate biases present in its training data.
  6. AI has limitations in performing complex reasoning and judgment tasks.
  7. AI relies on large volumes of training data, and issues with data quality can affect the output.

4.4 Specific Risks

  1. No Guarantee of Accuracy or Reliability: We do not guarantee the accuracy, completeness, reliability, or suitability of the Service"s output for any particular purpose.
  2. Potential for Misinterpretation: AI-generated content may be misinterpreted or misapplied. You are responsible for exercising critical judgment and ensuring appropriate use of the Service.
  3. Data Privacy: While we take reasonable measures to protect your data, we cannot guarantee absolute security. See our Privacy Policy for more details. Be aware that the prompts you input are used to train the underlying models. Do not submit sensitive or confidential information.
  4. Custom Agent Personas: You are solely responsible for the content and behavior of any custom agent personas you create. We are not responsible for any harm or liability arising from the use of custom agents.
  5. Agent Chaining: Chaining agents together may result in unpredictable and amplified biases or inaccuracies. Exercise extreme caution when using this feature.
  6. No Professional Advice: The service does not provide legal, medical, financial, or any other form of professional advice.

4.5 Disclosure Requirements

When implementing or integrating our Service in your own products or services that interact with third parties or end users, you must clearly disclose to your users that they are interacting with an AI system rather than a human, particularly in the following scenarios:

  1. All customer-facing chatbots or interactive AI agents
  2. Services or products serving minors

5. High-Risk Use Cases

Certain use cases pose a higher risk of harm due to their impact on areas critical to public welfare and social equity. If you use our Service in any of the following ”high-risk use cases,” you must implement additional safety measures:

  1. Legal: Use related to legal interpretation, legal guidance, or decisions with legal implications.
  2. Healthcare: Use affecting medical decisions, medical diagnosis, patient care, or medical guidance.
  3. Insurance: Use related to health, life, property, disability, or other types of insurance underwriting, claims processing, or coverage decisions.
  4. Finance: Use related to financial decisions, including investment advice, loan approvals, and determining financial qualification or creditworthiness.
  5. Employment and Housing: Use related to individual employment decisions, resume screening, recruitment tools, or housing eligibility decisions.
  6. Academic Testing, Certification, and Admissions: Use associated with standardized testing or school admissions.
  7. Media or Professional Journalism: Use for automatically generating content published for external consumption.

For these high-risk use cases, you must implement the following additional safety measures:

  • Human Involvement: Qualified professionals from the relevant field must review the content or decisions before dissemination or finalization.
  • Disclosure: You must disclose to your customers or end-users that you are using our services to assist in forming your decisions or recommendations.

6. User Accounts

If you create an account with us, you are responsible for maintaining the security of your account, and you are fully responsible for all activities that occur under the account.

You must immediately notify Breadth of any unauthorized uses of your account or any other breaches of security. Breadth will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.

You must not share your account credentials with others or allow others to access your account. You are responsible for keeping your password confidential. You acknowledge that your account is personal to you and agree not to provide any other person with access to the Service using your username, password, or other security information.

7. Prohibited Conduct

It is strictly prohibited to use the Services for any unlawful or regulatory violations. Unauthorized access to the Service systems, user accounts, or related networks is forbidden. You may not use automated tools to scrape data without our written permission. Additionally, you are prohibited from uploading or transmitting content containing viruses, malicious code, or anything that could harm computer system functionality.

Furthermore, according to our general usage standards, you may not use our services to:

  1. Endanger Child Safety, including but not limited to: creating, distributing, or promoting child sexual abuse materials; facilitating human trafficking, sexual extortion, or any form of exploitation involving minors; facilitating grooming of minors; depicting or promoting any form of child abuse; advocating or promoting pedophilic relationships; or sexualizing minors.
  2. Disrupt Critical Infrastructure, including but not limited to: promoting the destruction or disruption of critical infrastructure such as power grids, water treatment facilities, telecommunications networks, or air traffic control systems; unauthorized access to critical systems; or interfering with the operations of military bases and related infrastructure.
  3. Incite Violence or Hate, including but not limited to: inciting, promoting, or advocating violent extremism, terrorism, or hateful conduct; expressing support for organizations or individuals associated with violent extremism, terrorism, or hateful conduct; promoting or advocating violence or intimidation against individuals, groups, animals, or property; or promoting discriminatory behavior based on race, ethnicity, religion, nationality, gender, sexual orientation, or any other identity characteristic.
  4. Violate Privacy or Identity, including but not limited to: unauthorized access to computer systems or networks; violating anyone"s privacy rights; abusing, collecting, soliciting, or unauthorized acquisition of private information; or impersonating humans by presenting results as human-generated content.
  5. Create or Facilitate Exchange of Illegal or Highly Regulated Weapons or Goods, including but not limited to: manufacturing, modifying, designing, selling, or distributing weapons, explosives, hazardous materials, or other systems intended to cause harm; or engaging in any illegal activities related to controlled substances.
  6. Create Psychologically or Emotionally Harmful Content, including but not limited to: promoting or concealing any form of self-harm; promoting unhealthy or unattainable body images or beauty standards; shaming, insulting, intimidating, bullying, or harassing individuals; coordinating harassment against individuals or groups; generating content depicting sexual violence; or generating content depicting animal cruelty.
  7. Spread False Information, including but not limited to: creating and disseminating deceptive or misleading information about groups, entities, or individuals; creating and disseminating deceptive or misleading information about laws, regulations, procedures, practices, institutions, entities, or standards set by governing bodies; or providing false or misleading information related to medical, health, or scientific issues.
  8. Engage in Political Activity or Election Interference, including but not limited to: advocating or supporting specific political candidates, parties, issues, or positions; engaging in political lobbying; or inciting, glorifying, or promoting disruption of elections or civic processes.
  9. Use for Criminal Justice, Law Enforcement, Censorship, or Surveillance Purposes, including but not limited to: making decisions for criminal justice applications; tracking an individual"s physical location, emotional state, or communications without consent; or analyzing or identifying specific content for censorship purposes on behalf of governmental organizations.
  10. Engage in Fraud, Abuse, or Predatory Behavior, including but not limited to: facilitating forgery or distribution of counterfeit goods; facilitating or promoting the generation or distribution of spam; or generating content for fraudulent activities, schemes, scams, phishing, or malware.
  11. Generate Pornographic Content, including but not limited to: depicting or soliciting sexual intercourse or sexual activities; generating content related to sexual fetishes or fantasies; or promoting or depicting incest or bestiality.

8. User Data

8.1 Your Responsibility

You may provide prompts and other data to facilitate the use of the Breadth service or to generate outputs. You are fully responsible for all data you submit (”User Data”) and for obtaining all authorizations, consents, and permissions necessary to use and provide User Data to us. By uploading, submitting, or creating User Data, you represent and warrant that:

  • You own or have obtained licenses for all rights, titles, and interests in the User Data, including all copyrights and publicity rights contained therein;
  • The User Data, as well as our use and receipt of it as permitted under these Terms, does not infringe upon any individual"s rights or violate any applicable laws or regulations;
  • You have the right to grant us the license to use the User Data under these Terms;
  • To the best of your knowledge, all User Data you submit is accurate and up-to-date, is not false, inaccurate, or misleading, and does not violate these Terms.

8.2 Data Privacy

While we take reasonable measures to protect your data, we cannot guarantee absolute security. See our Privacy Policy for more details. Be aware that the prompts you input may be used by third-party AI providers to train their underlying models. Do not submit sensitive or confidential information.

8.3 User Data Disclaimer

Breadth is an AI-based service that operates based on predefined rules and algorithms. You understand and agree that other users providing similar inputs may receive outputs similar or identical to yours. We do not guarantee that outputs will be unique or dissimilar to those received by other users.

We make no representations or warranties regarding the accuracy, completeness, timeliness, correctness, reliability, quality, suitability, or originality of any User Data processed by Breadth, and we disclaim all related liabilities. You bear all risks associated with the data you provide to Breadth and its transmission. In the event of any loss or damage to User Data, to the extent permitted by law, your sole remedy is limited to our reasonable efforts to assist you in recovering lost or damaged data.

9. Intellectual Property

9.1 Service Ownership

The Service and its original content, features, and functionality are and will remain the exclusive property of GetBreadth and its licensors. You may not copy, modify, distribute, sell, or lease any part of our Service.

9.2 User Content Ownership

You retain ownership of the content you input into the Service. We do not claim ownership of any content you input into the Service. We DO NOT use your data to train AI models. However the third party AI models we use may use your data to train their models. We do not have control over this.

9.3 License to User Content

By submitting content to our Service, you grant us a non-exclusive, worldwide, royalty-free, fully paid-up license to use, copy, store, modify, and display your content solely for the purpose of providing and improving the Service during your use of the Service. Additionally, you grant us a perpetual and irrevocable license to use your content in an aggregated and anonymized manner to improve our Service and create usage data.

9.4 Feedback

Any questions, comments, suggestions, ideas, feedback, or other information (”Submissions”) you provide to us regarding the Service will be considered non-confidential, and GetBreadth will have the right to use and disseminate such Submissions without restriction, for any purpose, whether commercial or otherwise, without acknowledgment, attribution, or compensation to you.

10. Dispute Resolution

In the event of any dispute, claim, question, or disagreement arising from or relating to these Terms or the breach thereof, the parties shall use their best efforts to settle the dispute, claim, question, or disagreement. To this effect, they shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties.

If the parties do not reach such solution within a period of 60 days, then, upon notice by either party to the other, all disputes, claims, questions, or differences shall be finally settled by arbitration administered by the Australian Disputes Centre in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Melbourne, Victoria, Australia, and shall be conducted in English. The arbitrator"s award shall be final and binding and may be entered in any court having jurisdiction thereof.

Notwithstanding the foregoing, GetBreadth may seek injunctive or other equitable relief to protect its intellectual property rights in any court of competent jurisdiction.

11. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. If any provision is deemed invalid or unenforceable only in part or degree, such provision shall remain in full force and effect to the extent not held invalid or unenforceable.

12. Force Majeure

GetBreadth shall not be liable for any failure to perform its obligations under these Terms where such failure results from any cause beyond GetBreadth"s reasonable control, including, but not limited to, mechanical, electronic, or communications failure or degradation, acts of God, terrorism, pandemic, epidemic, public health emergency, governmental actions, labor disputes, war, fire, flood, earthquake, or other natural disaster.

In the event of a force majeure event, performance of the affected obligations shall be suspended for the duration of the force majeure event. GetBreadth will take reasonable steps to minimize the impact of the force majeure event and resume performance as soon as reasonably possible.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED ”AS IS” AND ”AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

14. Limitation of Liability

IN NO EVENT SHALL GetBreadth, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF GETBREADTH AND ITS AFFILIATES UNDER OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT YOU ACTUALLY PAID TO GETBREADTH UNDER THESE TERMS IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY (IF ANY).

15. Indemnification

You agree to indemnify and hold harmless GetBreadth and its affiliates, officers, agents, and employees from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys" fees) arising out of or relating to your use of the Service or your violation of these Terms.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will post the most current version on our website. By continuing to use the Service after the changes become effective, you agree to be bound by the revised Terms.

17. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Victoria State, Australia, without regard to its conflict of law provisions.
